These Terms of Service (“Terms”) govern your access to and use of toolvault.co and any tools, features, content, or services provided through it (collectively, the “Service”).

1. Eligibility & accounts
You may use the Service only if you are able to form a binding contract with ToolVault under applicable law and are not prohibited from using the Service by applicable laws or regulations.
The Service is not directed to children under 13, and you must not use the Service if you are under 13. If account features are introduced, you are responsible for maintaining the security of any login credentials associated with your use of the Service.
2. Use of the Service
ToolVault provides calculators, generators, and other utilities for general information and convenience only. You are solely responsible for how you use any results, values, or content generated by the Service.
You agree not to misuse the Service or help anyone else do so, including by:
- Accessing or attempting to access the Service using automated means not provided.
- Interfering with or disrupting the Service or servers.
- Attempting to reverse engineer, decompile, or otherwise obtain the source code of the Service where not permitted by law.

3. No professional advice
The Service may provide numerical outputs, calculations, or generated content. These are provided for informational purposes only and do not constitute professional advice of any kind, including without limitation financial, investment, accounting, legal, tax, or medical advice.

5. User content
If the Service allows you to submit or upload content (for example, text used within a tool), you retain any rights you have to that content. By submitting content, you grant ToolVault a non-exclusive, worldwide, royalty-free license to host, store, display, and use that content as necessary to operate and improve the Service.
You represent that you have all rights necessary to submit any content you provide and that your content does not infringe or violate the rights of any third party or any law.
6. Third‑party services & links
The Service may display third‑party content or links to third‑party websites, tools, or services (including advertising networks and analytics providers). ToolVault is not responsible for and does not endorse any third‑party sites, products, or services.
Any access to or use of third‑party sites or services is at your own risk and may be subject to additional terms and privacy policies imposed by those third parties.
7. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
ToolVault does not warrant that the Service will be accurate, complete, error‑free, secure, or uninterrupted, or that any defects will be corrected. You assume all risk for your use of the Service and any reliance on results generated by it.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLVAULT AND ITS OWNERS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
TO THE EXTENT ANY LIABILITY CANNOT BE EXCLUDED, TOOLVAULT'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL BE LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO USE THE SERVICE (IF ANY) IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $10.
9. Indemnification
You agree to indemnify, defend, and hold harmless ToolVault and its owners, affiliates, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way related to your use of the Service, your violation of these Terms, or your infringement of any rights of another person or entity.
10. Changes to the Service
ToolVault may modify, suspend, or discontinue all or any part of the Service at any time, with or without notice. ToolVault will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
11. Changes to these Terms
ToolVault may update these Terms from time to time. When changes are made, the “Last updated” date at the top of this page will be revised. If you continue to use the Service after the updated Terms become effective, you agree to be bound by the updated Terms.
12. Governing law & disputes
These Terms are governed by the laws of the jurisdiction where ToolVault is organized or primarily operated, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be brought exclusively in the courts located in that jurisdiction, and you consent to the personal jurisdiction and venue of such courts.
